Agreement to these terms

We are Kuware, Inc. (“Company,” “we,” “us,” “our”), a company registered in Texas, United States, at 108 Wild Basin Rd S, Suite 250, Austin, TX 78746, USA.

We operate the website kuwaredesk.ai and the KuwareDesk application (the “Site”), along with any related products and services that refer or link to these terms (the “Legal Terms,” and collectively, the “Services”). These Legal Terms form a legally binding agreement between you (whether personally or on behalf of an entity) and Kuware, Inc. concerning your use of the Services. By accessing the Services, you confirm that you have read, understood, and agreed to these Legal Terms. If you do not agree, you are prohibited from using the Services and must stop immediately.

We may update these Legal Terms from time to time. We'll note changes by updating the “Effective” date above, and your continued use after changes are posted means you accept them. The Services are intended for users at least 13 years of age; minors (generally under 18) must have a parent or guardian's permission and supervision.

01Our services

The Services are not intended for use by anyone in a jurisdiction where such use would be contrary to law or would subject us to a registration requirement. Those who access the Services from other locations do so on their own initiative and are responsible for complying with local laws.

The Services are not tailored to comply with industry-specific regulations such as HIPAA or FISMA. If your use would be subject to such laws, you may not use the Services, and you may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

Our intellectual property

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print portions of the Content you've properly accessed, solely for your internal business purpose. No part of the Services, Content, or Marks may be copied, republished, sold, or otherwise exploited commercially without our prior written permission.

Your submissions

By sending us any question, comment, suggestion, or other feedback about the Services (“Submissions”), you agree to assign to us all intellectual property rights in that Submission, so we may use it without acknowledgment or compensation. You warrant that your Submissions are original to you or that you have the rights to submit them, and that they don't contain confidential information.

03User representations

By using the Services, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will keep it accurate and update it as needed; (3) you have the legal capacity to comply with these Legal Terms; (4) you are not under 13; (5) you are not a minor where you reside, or if a minor, you have parental permission; (6) you will not access the Services through automated or non-human means; (7) you won't use the Services for any illegal or unauthorized purpose; and (8) your use won't violate any applicable law. If any information you provide is untrue or incomplete, we may suspend or terminate your account.

04User registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all activity under your account. We may remove or change a username we determine, in our sole discretion, to be inappropriate or objectionable.

05Purchases and payment

We accept Visa and Mastercard. You agree to provide current, complete, and accurate purchase and account information, and to keep it updated so we can complete your transactions. Applicable sales tax will be added, and all payments are in US dollars.

You authorize us to charge your payment provider for your orders. If your plan is subject to recurring charges, you consent to us charging your payment method on a recurring basis until you cancel. We may correct pricing errors and may refuse or limit any order at our discretion.

06Cancellation

You can cancel your subscription at any time from your account. Cancellation takes effect at the end of your current paid term. If you're unsatisfied with the Services, please email support@kuwaredesk.ai or call +1-512-364-0165.

07Prohibited activities

You may only use the Services for their intended purpose. As a user, you agree not to:

• systematically retrieve data to build a collection or database without our written permission;
• trick, defraud, or mislead us or other users, or attempt to learn sensitive account information;
• circumvent, disable, or interfere with security-related features of the Services;
• use the Services in any way that violates applicable laws or regulations;
• upload or transmit viruses, malware, spam, or any material that disrupts the Services;
• use scripts, bots, scrapers, or other automated tools to access or collect data from the Services;
• impersonate another user, or harass, abuse, or harm another person using information from the Services;
• reverse engineer, decompile, or copy the Services' software except as permitted by law; or
• use the Services to compete with us or for any unauthorized commercial purpose.

08Your contributions

The Services may let you submit or post content (“Contributions”). When you do, you represent that your Contributions don't infringe any third-party rights, aren't false or misleading, aren't unlawful or objectionable, and don't violate anyone's privacy or these Legal Terms. We don't claim ownership of your Contributions, you retain your rights, but you're solely responsible for them, and you agree that we can use feedback you provide without compensation.

09Services management

We reserve the right, but not the obligation, to monitor the Services for violations, take legal action against violators, restrict or disable content that is excessive or burdensome to our systems, and otherwise manage the Services to protect our rights and ensure proper functioning.

10Privacy policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to it, and it is incorporated into these Legal Terms. The Services are hosted in the United States; if you access them from elsewhere, you consent to your data being transferred to and processed in the United States. We do not knowingly collect information from children under 13.

11Term and termination

These Legal Terms remain in effect while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to the Services to anyone for any reason, including for breach of these Legal Terms. We may terminate your use or delete your account and content at any time, without warning. If we terminate or suspend your account, you may not register a new one under your name or a false name.

12Modifications and interruptions

We may change, modify, or remove the contents of the Services at any time without notice, and we have no obligation to update any information. We can't guarantee the Services will always be available, we may experience downtime for maintenance or technical issues, and we won't be liable for any loss or inconvenience caused by any interruption or discontinuance.

13Governing law

These Legal Terms and your use of the Services are governed by the laws of the State of Texas, without regard to its conflict-of-law principles.

14Dispute resolution

You agree to submit any disputes related to these Legal Terms to the courts located in Travis County, Texas. Kuware, Inc. also retains the right to bring proceedings in the courts of the country or state where you reside or do business.

15Corrections

The Services may contain typographical errors, inaccuracies, or omissions, including relating to descriptions, pricing, and availability. We reserve the right to correct any such errors and to update information at any time without prior notice.

16Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT AND ASSUME NO LIABILITY FOR ERRORS, UNAUTHORIZED ACCESS TO YOUR DATA, INTERRUPTIONS, OR ANY LOSS RESULTING FROM USE OF THE SERVICES.

17Limitations of liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR LIABILITY WILL AT ALL TIMES BE LIMITED TO THE AMOUNT YOU PAID TO US, IF ANY. SOME LAWS DO NOT ALLOW SUCH LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

18Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, and employees, from any loss, damage, liability, claim, or demand (including reasonable attorneys' fees) arising from: (1) your use of the Services; (2) breach of these Legal Terms; (3) breach of your representations and warranties; or (4) your violation of a third party's rights. We reserve the right to assume the defense of any such matter at your expense.

19User data

We maintain certain data you transmit to the Services to manage performance, and data about your use of the Services. While we perform routine backups, you are solely responsible for all data you transmit. You agree we have no liability for any loss or corruption of such data.

20Electronic communications, transactions, and signatures

Visiting the Services, emailing us, and completing online forms are electronic communications. You consent to receive communications electronically and agree that electronic agreements, notices, and records satisfy any legal requirement that they be in writing. You consent to electronic signatures and to the electronic delivery of notices and records.

21California users and residents

22Miscellaneous

These Legal Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to enforce any right or provision is not a waiver of it. If any provision is found unlawful or unenforceable, it is severable and does not affect the remaining provisions. We may assign our rights and obligations at any time. No joint venture, partnership, or employment relationship is created by these Legal Terms, and you waive any defenses based on their electronic form.
